Terms of Service
Effective date: January 10, 2025
These Terms are a binding agreement between you and Coreledger Technologies Inc. ("Coreledger"). By using Contextus, you agree to these Terms.
1) Accounts & eligibility
You must be at least 18 (or the age of majority where you live). Keep credentials confidential. You're responsible for activity under your account.
2) Plans, billing & taxes
We offer Free, Pro, and Enterprise plans with different features, quotas, and SLAs documented in our pricing page. Paid plans auto-renew monthly/annually until canceled. Taxes are extra. Payments are processed by our PCI-compliant provider (e.g., Stripe). You authorize us to charge the payment method on file.
3) API keys, quotas & rate limits
API keys are personal/tenant-scoped. Do not share publicly. We enforce quotas, rate limits, and plan-based feature gates; exceeding limits may return 429 or 403 responses. We may throttle, suspend, or terminate to protect the service.
4) Acceptable use
You will not:
- breach laws or rights
- probe or disrupt the service
- upload illegal, malicious, or infringing content
- attempt to bypass quotas
- misuse personal data
- use outputs to build competing foundation models without permission
Enterprise customers may adopt their own internal AUP if stricter.
5) Your content & license to us
You retain ownership of your inputs, uploads, and outputs ("Customer Content"). You grant us a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and create incidental copies of Customer Content solely to provide the services (including backups, logs, analytics of usage, semantic ranking, trimming/redaction, evaluation, and support). We do not claim ownership of your data.
6) IP; our software
We (and our licensors) own Contextus, the SDKs, adapters, models, docs, and branding. Except for the rights you expressly receive, no rights are granted. Some components may include open-source code under their respective licenses.
7) Feedback
If you provide feedback or suggestions, you grant us a perpetual, irrevocable license to use them without restriction or payment.
8) Confidentiality
Each party may disclose non-public information marked or reasonably understood as confidential. The receiving party will protect it and use it only for the relationship—except where disclosure is required by law.
9) Privacy
Our Privacy Policy forms part of these Terms.
10) Third-party services
Integrations (e.g., IDE plugins, MCP tools, cloud storage, LLM providers, Stripe) are subject to their own terms. We are not responsible for third-party services you enable.
11) Service levels; changes
We aim for high availability but do not guarantee uninterrupted service. We may modify features or limits with reasonable notice. For Enterprise SLAs, see your order form or MSA.
12) Disclaimers
SERVICES ARE PROVIDED "AS IS". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES (EXPRESS, IMPLIED, OR STATUTORY), INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
13) Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES; (b) EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES IS CAPPED AT THE AMOUNTS PAID BY YOU TO US IN THE 12 MONTHS BEFORE THE EVENT (OR CAD $100 FOR FREE PLAN USERS). These limits do not apply to your payment obligations or a party's breach of Section 8 (Confidentiality) or IP infringement/indemnity obligations (if applicable in an Enterprise agreement).
14) Suspension & termination
You may cancel anytime in the dashboard; paid plans remain active until the end of the current term. We may suspend or terminate for breach, non-payment, security risk, or legal requirement. On termination we may delete your data after a retention period noted in our Policy.
15) Governing law; venue
These Terms are governed by the laws of British Columbia, Canada, without regard to conflicts rules. Courts in Vancouver, BC have exclusive jurisdiction. (If your company needs arbitration or another venue, we can accommodate in an MSA.)
16) Export controls & sanctions
You must comply with applicable export, re-export, and sanctions laws and may not use Contextus where prohibited.
17) Changes to Terms
We may update these Terms; material changes will be notified reasonably in advance. Continued use after effective date = acceptance.
18) Enterprise terms
If you and Coreledger execute an Enterprise Order/Agreement or DPA, those terms govern to the extent of conflict.
